ESAND BY-LAWS

ARTICLE I: STEERING COMMITTEE MEETINGS
Section 1: Annual Meeting. There shall be an annual meeting of the Steering Committee to be held during the NDCEL Fall Conference. Members will be notified of the time and place.
Section 2: Special Meeting. Special meetings may be called by three members of the Steering Committee.
Section 3: Voting. Each member present shall have one vote. There shall be no voting by mail or proxy.
ARTICLE II: DUTIES OF THE STEERING COMMITTEE
Section 1: The NDCEL Administrative Assistant shall preside at all meetings of ESAND and of the Steering Committee. The Administrative Assistant shall call all meetings and keep an accurate record of the proceedings and conduct the correspondence of ESAND as directed by the Steering Committee.
Section 2: The Treasurer shall deposit and disburse all funds of ESAND as directed by the Steering Committee. The Administrative Assistant shall present a financial report at the annual meeting of ESAND.
Section 3: The Steering Committee shall assist in preparing the programs at the meetings of ESAND.
Section 4: The Steering Committee, along with the NDCEL Administrative Assistant, will promote membership in the Educational Secretaries Association of North Dakota.
ARTICLE III: COMMITTEES
Section 1: The standing and ad hoc committees of ESAND will be established as needed by the Steering Committee.
ARTICLE IV: REGIONAL REPRESENTATION
Section 1: ESAND shall be divided into four regions that coincide with NDASA regions comprised of the following counties:
SW: Adams, Billings, Bowman, Burleigh, Dunn, Emmons, Golden Valley, Grant, Hettinger, Mercer, Morton, Oliver, Sioux, Slope, Stark.
NW: Bottineau, Burke, Divide, McHenry, McKenzie, McLean, Mountrail, Pierce, Renville, Sheridan, Ward, Wells, Williams.
SE: Barnes, Cass, Dickey, Griggs, Kidder, LaMoure, Logan, McIntosh, Ransom, Richland, Sargent, Steele, Stutsman.
NE: Benson, Cavalier, Eddy, Foster, Grand Forks, Nelson, Pembina, Ramsey, Rolette, Towner, Traill, Walsh.
Section 2: Regional representatives to the Steering Committee shall be elected by each region at the NDCEL Fall Conference.
ARTICLE V: DUES
The annual dues for each member shall be established each year.
ARTICLE VI: QUORUM
Section 1: A quorum shall be a majority of the ESAND membership present.
Section 2: A majority of the members of the Steering Committee shall constitute a quorum for the transaction of business of the Steering Committee.
ARTICLE VII: MEMBERSHIP MEETINGS
Section 1: Meetings of the ESAND will be held at such times and places as determined by the Steering Committee.
Section 2: At the NDCEL Fall Conference, the annual reports shall be presented and the members for the Steering Committee shall be elected for the following term. These committee members shall assume office immediately after the NDCEL Fall Conference.
Section 3: The NDCEL Administrative Assistant shall preside at all meetings. In the event of the Administrative Assistant's absence, another member of the Steering Committee shall preside.
ARTICLE VIII: AMENDMENTS
Amendments to the by-laws may be proposed in writing by any member. Proposed amendments are to be submitted in writing to the NDCEL Administrative Assistant. Such amendment(s) shall become a part of the by-laws when adopted by a majority vote of the Steering Committee.
